When you use the services of the artist Laura L. GIRAUD, also known as Jack Norisk, you, as the Client / Customer, accept the terms of services below. The applying law is the French law. Any dispute or litigation concerning these terms, in absence of an amicable agreement, will fall under the jurisdiction of the commercial court of Strasbourg. What is not explicitly authorized is prohibited

• SERVICES

The services include everything that is explicitly discussed between the Artist & the Client. As corollary, it does not include what is not explicitly written.

The client assumes full and entire responsibility for the choices made in terms of textual and iconographic contents appearing in the realization delivered by the artist, as well as for the exploitation which will be made of it, and in particular the conformity of the latter with the current regulations.

They also assure to be the owner of the rights necessary to the exploitation of all the creative textual and iconographic elements supplied by them to Laura L. GIRAUD within the framework of her mission, and guarantees the artist against any third party complaint related to the violation of the rights of these elements.

PRICES & PAYMENTS

 

• PRICES

In order to set the best pricing possible, the client is recommended to describe exhaustively the elements they wish to be featured. Any details, added past estimation and/or the service payment, may involve additional costs.

If you wish to use the illustration for commercial uses, you'll need to state it upfront.

 

The artist's hourly rate is 12.5€/h

 

• PAYMENTS

Payments are done with Paypal or Bank Transfer. 

 

At least a part of the total pricing is expected to be paid upfront. Depending on which services you asked for. In cases where the services are performed for several customers, the payment will have to be grouped in a single debtor. The intellectual property fees will be adapted accordingly.

 

• PAYMENT FEES

These only become effective when the services were started or done:

Unless an additional payment period is agreed upon by both parties, payment shall be made no later than the 30th day following the invoice date (C. Com. art L. 441-6, al.2 modified by the law of May 15, 2001)

This includes if you chose to make multiple payments: then payment shall be made no later than the 30th day following concerned due date payment.

 

Any delay in payment may result in late payment penalties: a fixed penalty of 40€ (C. Com. art. D441-5) to which 10% of the total invoice per month of delay is added (Fight against late payment / Article 53 of the NRE Law).

 

REVISIONS

 

While the artist is working, the client will receive work in progress on a regular basis. Those WIPs are shared so the client can make possible feedbacks and rectifications.

 

There's nothing wrong to make these feedbacks, the point is for the client to like the final delivery. Please do it.

 

Significant edits, such as: composition, posing, clothing... Should be reported before the lineart (comics) or coloration (illustrations) are started . Afterwards, only tiny aspects may be corrected, besides wrong charadesign.

Please note that the artist may adapt the client's character to their style. In which case this does not count as a "wrong charadesign".

 

Too many edits or major edits will result in additional cost. (see hourly rate) As it's hardly quantifiable equitably, the artist chose not to give a "max number of edits".

(Note from the artist : "I find it hardly fair to count a color revision the same way as a posing revision, as an exemple.")

DEADLINES AND DELIVERY

 

• DEADLINES

Each service mentions its delivery time.

 

Any delay by the customer in the validation of the various WIPs can involve, at least, a delay of an equivalent duration to the delivery.

The artist cannot be held accountable for this difference from the initial delivery date in this case.

 

If the delivery takes over a month the order is considered as "delayed". If the client has been warned about the delay and expressed an agreement to pursue the service, the process stays the same as the artist will provide a new delivery date.

Otherwise, a new agreement can be made to the client's demand to accommodate both parts.

 

• DELIVERY

Once the artist has finished their services, they will deliver to the client what follows :

 

- A "HD" file (png, TIFF...) for the client's personal use.

- A "WEB" file for the client to share online, as long as the artist is mentioned (Laura.L Giraud and/or Jack Norisk).

- (Optional) Few WIP samples and/or a short timelapse showing the artist's process. Those are not to be shared online but by the artist.

 

Once delivered, there can't be additional revisions. Unless additionnal fees.

Software files are not to be delivered.

 

For traditional works, the price includes the original unless mentioned otherwise. The client will only have to pay the sending fees in addition to the services costs,

In case of postal lost they should fill a complaint to the concerned postal service. The artist will accompany the client in the process. An insurance on the shipment is available upon request for an additional cost.

 

Without answer from the client, within a two month period after the last WIP was sent, the order will be considered as finished, out of specific given context.

USE

 

The customer is free to use the final delivered product for its personal use only. Which includes: printing & exposing in their private locals (home, desk...). Printing up to three times on clothing they can wear in public locals.

But also for the creation and distribution of digital end products shared to commercial and monetized social and content platform accounts belonging to the Licensee. The client can share on and use the delivery product as an asset for their social medias, including Twitch and Youtube and similar apps.

The artist refuses any NFTs related use.

The artist refuses any AI related use.

 

Laura L. GIRAUD reserves the right to mention her work as reference and to quote textual or iconographic extracts of the concerned project within the strict part of her commercial prospection, external communication and publicity.

Any reservation to these rights will have to be notified and negotiated.

 

 

INTELLECTUAL PROPERTY RIGHTS

 

Referring to article L122-4 from CPI (French Intellectual Property Code) :

[FR] “Toute représentation ou reproduction intégrale ou partielle faite sans le consentement de l'auteur ou de ses ayants droit ou ayants cause est illicite. Il en est de même pour la traduction, l'adaptation ou la transformation, l'arrangement ou la reproduction par un art ou un procédé quelconque.”

 

[EN] >> “Any complete or incomplete representation or reproduction done without the consent from the author or from the beneficial owners is illicit. The same applies for : translation, adaptation or transformation, agencement or reproduction by an art or any process.”

 

In accordance with the CPI (French Intellectual Property Coden) (article L.121-1 to L.121-9) will be transferred to the customer, for the services provided, only the economic rights explicitly stated in the intellectual property fees, to the exclusion of any other, and this within the limits also appearing here.

It is reminded that the moral rights of a creation (including the right to respect the work and the right to respect the name) remains attached to its author in a perpetual and imprescriptible way.

 

Any representation or reproduction in whole or in part made without the consent of the author or his successors in title is illegal and punishable under the laws relating to the crime of counterfeiting. It is the same for the translation, the adaptation or the transformation, the arrangement or the reproduction by an art or an unspecified process (Art. L. 122-4 of the CPI) and, yes, this includes AI.

 

All of the works and the rights relating to them, object of the present services, remain the whole and exclusive property of Laura L. GIRAUD as long as the due price is not paid in totality by the customer. As a corollary, the customer will become the owner of the rights transferred as the final and balancing payment of all the invoices issued by Laura GIRAUD as part of the order.

 

REFUNDS

 

Both the client and the artist can cancel the commission as long as the service is not finished. The party cancelling will have to contact the second party with an email (laura.l.giraud@jacknorisk.art) expressing their wish to stop the process.

 

In case of cancelling an ongoing commission : the customer commits to pay the amount corresponding to the percentage of the service performed, within a period up to 30 days from the confirmation of breach of contract. If the payment was entirely paid upstream, Laura L. GIRAUD commits to refund the amount corresponding to the remaining percentage of the service. This refund will be made within a period up to 14 days from the confirmation of breach of contract.

Those are to allow an easier and quicker way to share WIPs or if a client has an inquiry for their ongoing commission.

 

When paying for a service, the client accept to discuss and debate in a rational way. We are humans not machines, be polite, patient and tolerant of opposite views. No subject related to politics or religion should be addressed. Furthermore hate speech, sexism, phobic speech and harassment are not tolerated.
